New Changes to the Ontario Not-for-Profit Corporations Act as of October 1, 2023

Many not-for-profits and charities in the province are in the midst of updating their governing documents to align with the new Ontario Not-for-Profit Corporations Act (“ONCA”) by the October 18, 2024 deadline. The legislation, enacted on October 19, 2021, is a welcome, modern framework for not-for-profits and charities incorporated in Ontario.

Existing not-for-profit corporations and registered charities have until October 18, 2024 to ensure compliance with ONCA. However, such corporations should note that new changes will be implemented to ONCA as of October 1, 2023. These changes include new rules for virtual meetings of directors and members, as well as remote access to corporate records. We have created a chart that summarizes the upcoming changes
